Role Purpose/Accountabilities:
Ensuring compliance with Seeds license agreements is essential to both protecting and securing Seeds rights and interests. Compliance with contractual obligations is critical to retention of FTO of developments of both owned and licensed technologies and the creation of new and enforceable IP such that loss of rights under some agreements can severely limit or prevent Seeds ability to execute on its strategic objectives. This position will be responsible for developing processes and engaging internal and external resources that enable and ensure compliance, including:
-Ensure management of Syngenta’s compliance with its third party contracts and in particular license agreements with critical reporting and royalty forecasting and payment requirements.
-Ensure implementation of key restrictions, obligations, and actions or contingencies of license agreements critical to our business.
-Ensure that Syngenta’s trait and germplasm licensees are in compliance with Syngenta’s contracts, including establishment of audit procedures for reports and financial payments, trait stewardship and quality control (requires interaction with SQC personnel).
-Establish processes and documentation for compliance and audit procedures. The Manager will also link with the SBS, Crop Reporting and audit, trait stewardship, compliance, Global Trait Licensing, and regulatory teams.

A key objective will be to further develop the compliance process in North America including alignment with SIMPLFI and extending the process across crops and helping develop like process in LATAM, EAME and APAC, as appropriate. The person will need to stay current on key contractual terms and conditions, changing quality and/or stewardship procedures, changing roles and responsibilities of individuals accountable or responsible for contract obligations, and will be responsible for developing and rolling out educational programs to the business.

Dimensions
-Financial Scope: No direct budget management but demonstrate good fiscal responsibility as well as a high degree of financial acumen in managing and accounting for costs
-People responsibility: Up to one Analyst and some supervision and direction of administrative staff may be required.

Organization and Management:
-Ensure the management of key aspects of contract compliance throughout the [Seeds] North America organization and Global Traits.
-Manage Contract Implementation Summaries (CIS) for all key License Agreements
-Manage Royalty Obligation Reporting for current year (CY), CY+1, and when possible CY+2 and beyond, for key crops
-Facilitate the royalty forecast inputs for budget and LE
-Establish and implement a compliance and audit program for monitoring Syngenta trait and germplasm licenses.
-Remain current on key contract terms and conditions and with individuals accountable or responsible for meeting contract obligations.
-Develop and implement compliance procedures, contract implementation plans, and associated documentation.
-Liaise with Syngenta Trait Stewardship and Regulatory Compliance teams to establish monitoring program for Syngenta licensed traits and Syngenta’s traits licensed by third parties.
-Notify and coordinate with Legal and Licensing team on any compliance discrepancies as required.
-Review, update and implement changes, enhancements, or automation of compliance procedures, including alignment with SIMPLFI processes
-Develop and implement contract compliance training and learning materials.

Legal and Fiscal:
-Ensure that all processes and procedures are in compliance with Syngenta legal and corporate standards
-Ensure that Syngenta’s reputation and Corporate Social Responsibility position is enhanced and promoted at all times.
-Work closely with ALIP colleagues on a proactive, value-adding basis


Knowledge, Skills & Experience: Critical Success Factors & Key Challenges: -Ability to anticipate short and long term objectives, related requirements to support those objectives, and set workload priorities
-Ability to facilitate across functions, the management of license compliance at an individual contract level and across all key contracts



Critical knowledge: :
-MBA or Masters degree with 4-6 years experience, or Bachelors degree in Finance with 6-8 years experience and demonstrated achievement in Business and/or Finance
-Ability to understand or seek out and develop an understanding of contract terms and conditions
-Knowledge of compliance programs and audit techniques and procedures.
-Financial expertise in monitoring contract related reporting, royalty and other payments.
-Knowledge of the functional business network to facilitate reporting and royalty payment processes

Critical experience:
-Experience with development and implementation of financial audit procedures or contract compliance programs.
-Project management experience, ideally with demonstrated ability to work effectively across functional boundaries.
-Licensing or other contract related experience is beneficial but not necessary.
-Familiarity with agribusiness - - seeds germplasm and traits development, production and commercial operations - - is beneficial

Critical technical, professional and personal capabilities:
-Project and process management skills are essential.
-Ability to handle and foresee multiple and shifting priorities without losing focus is necessary.
-Able to communicate effectively with top management and line staff, alike, in both verbal and written form and strong interpersonal skills.
-Personal computer skills in Microsoft Office required and advanced skills with Excel and Access are beneficial

Critical leadership capabilities:
-Strong networker, capable of operating successfully in an informal environment and across a matrix organization.
-Track record of successful and flexible problem solving and project delivery.
-Previous professional experience with biotech traits, product development, supply management, or product evaluation beneficial but not absolutely required
